Comprehensive Terms for B2B, Enterprise, & Custom Contracts

1. Overview

This Commercial Payments Policy outlines the financial terms, invoicing practices, taxation norms, milestone-based settlements, and commercial payment procedures applicable to all paid transactions executed between Jataye.com and its business clients, enterprise customers, institutional buyers, government contracts, and freelance/agency partners.

This document supplements our Terms & Conditions and applies exclusively to business-facing transactions. Individual learners, students, and personal use subscribers should refer to our consumer pricing and subscription policies.

2. Accepted Payment Modes

Jataye.com supports the following secure payment mechanisms:

  • ✅ SWIFT (International clients)
  • ✅ UPI Corporate Gateway
  • ✅ Razorpay & Stripe Business Accounts
  • ✅ PayPal (for USD transactions)
  • ✅ Purchase Order (PO) Based Settlement (for institutional clients)
  • ✅ Wallet-to-wallet transfers for approved B2B platforms

All transactions are digitally acknowledged. Official invoices will be generated within 48 hours of payment receipt.

3. Billing Cycle & Invoicing

  • Monthly/Quarterly Billing: SaaS/API enterprise users will receive invoices on a set recurring cycle.
  • Milestone Billing: Custom software, platform development, or LLM fine-tuning projects follow stage-based billing.
  • Annual Prepaid Models: AI training & deployment retainers are invoiced annually with built-in discounts.
  • Time & Material (T&M): Short-term consulting/advisory engagements are billed on actual hourly/daily rates.

Invoices include breakup of:

  • Scope of Work (SOW)
  • Hours or Units Consumed
  • Tax (GST, TDS, Withholding if applicable)
  • Due Dates
  • Payment Instructions

4. Taxes & Compliance

  • Indian GST (18%) applicable for domestic clients unless exempted.
  • TDS deductions allowed per Section 194J/194C (India).
  • PAN/TAN, GSTIN, and MSME details are provided upon onboarding.
  • International clients are responsible for local VAT/GST/withholding taxes.
  • All transactions are auditable under Indian Financial Regulations.

5. Late Payment & Default Charges

  • Payments delayed beyond 15 days from invoice date attract 2% per month as late fee.
  • Service access may be paused if dues exceed 30 days.
  • Data retrieval/export for defaulters requires full settlement.
  • Repeated defaulters may be blacklisted from future contracts.

6. Refunds & Disputes

  • Refunds are only processed under force majeure or unfulfilled deliverables.
  • Custom training, API usage, and consulting hours are non-refundable.
  • Dispute resolution timeline: 7 business days from official complaint receipt.
  • Arbitration, if required, will be conducted in Bengaluru under Indian Arbitration Act.

7. Commercial Project Commitments

All signed SoWs/MoUs will clearly specify:

  • Payment Tranches (Advance, Midway, Final)
  • Deliverables Boundaries
  • IP Ownership Terms
  • Support Duration & Transition Periods
  • Performance Benchmarks (for model delivery, training quality, etc.)

Jataye.com guarantees compliance with these only upon complete payment cycle clearance.

8. Enterprise Subscription Licensing

For teams purchasing licenses for 5+ members:

  • Pricing is tiered based on team size, usage hours, and API credits.
  • Enterprise control panels and usage dashboards are offered.
  • Bulk renewals are invoiced annually.
  • Licenses are non-transferable but can be reassigned internally upon request.

9. Penalties for Misuse or Fraud

If a business client:

  • Misuses Jataye’s tools for scraping or replication
  • Falsifies business credentials for discounts
  • Fails due diligence/KYC checks

Then:

  • All commercial contracts stand canceled.
  • Blacklisting is activated in our CRM and global vendor networks.
  • Legal notice will be issued for damages and cost recovery.
